Episerver Vendor Data Processing Agreement 

This Episerver Vendor Data Processing Agreement (“Agreement”) forms part of the Episerver Vendor Program or other written or electronic agreement between Episerver and Vendor (the “Agreement”) to reflect the parties’ agreement with regard to the Processing of Personal Data.

By signing this Agreement, Vendor enters into this Agreement on behalf of itself and, to the extent required under applicable Data Protection Laws and Regulations, in the name and on behalf of its Affiliates, if and to the extent Episerver processes Personal Data for which such Affiliates qualify as the Controller or Processor. All capitalized terms not defined herein shall have the meaning set forth in the Agreement.

How to Execute the Agreement

  1. This Agreement consists of the following: Main body of the Agreement, Schedule 1 and Schedule 2 (including all Appendices).
  2. If this Agreement is attached to a Master Agreement which is signed and executed, the Agreement will become legally binding between the Parties as part of the Agreement.
  3. To complete this Agreement when not attached to an Agreement, Partner must:
    • Complete the electronic form at the bottom of this page.

 How the Addendum Applies

If Partner entering into this Agreement is a party to the Master Agreement, this Agreement forms part of the Master Agreement. In such case, the Episerver entity that is party to the Master Agreement is party to this Agreement.

If Partner’s Affiliate entering into this Agreement has executed an Order with Episerver or its Affiliate pursuant to the Agreement, but is not itself a party to the Agreement, this Agreement becomes part of that Order and applicable renewal Orders, and the Episerver entity that is party to such Order is party to this Agreement.

If an entity signing this Agreement is neither a party to a Master Agreement nor an Order, this Agreement is not valid and is not legally binding. Such entity should request that a Partner entity who is a party to the Agreement executes this Agreement on their behalf.
