Partner Data Processing Addendum

This Episerver Partner Data Processing Addendum (“Addendum”) forms part of the Episerver Partner Success Program Agreement or other written or electronic agreement between Episerver and Partner (the “Agreement”) to reflect the parties’ agreement with regard to the Processing of Personal Data.

By signing this Addendum, Partner enters into this Addendum on behalf of itself and, to the extent required under applicable Data Protection Laws and Regulations, in the name and on behalf of its Affiliates, if and to the extent Episerver processes Personal Data for which such Affiliates qualify as the Controller or Processor. All capitalized terms not defined herein shall have the meaning set forth in the Agreement.

How to Execute the Addendum

  1. This Addendum consists of the following: Main body of the Addendum, Schedule 1 and Schedule 2 (including all Appendices).
  2. If this Addendum is attached to an Agreement which is signed and executed, the Addendum will become legally binding between the Parties as part of the Agreement.
  3. To complete this Addendum when not attached to an Agreement, Partner must:

How the Addendum Applies

If Partner entering into this Addendum is a party to the Agreement, this Addendum forms part of the Agreement. In such case, the Episerver entity that is party to the Agreement is party to this Addendum.

If Partner’s Affiliate entering into this Addendum has executed an Order with Episerver or its Affiliate pursuant to the Agreement, but is not itself a party to the Agreement, this Addendum becomes part of that Order and applicable renewal Orders, and the Episerver entity that is party to such Order is party to this Addendum.

If an entity signing this Addendum is neither a party to an Agreement nor an Order, this Addendum is not valid and is not legally binding. Such entity should request that a Partner entity who is a party to the Agreement executes this Addendum on their behalf.
